LiveToFac 用户服务条款 / Terms of Service（v1.0）

1. 协议主体 / Parties

1.1 本条款由您与 Vertexa Pty Ltd（澳大利亚私人有限公司，ACN 698 787 352，ABN 15 698 787 352，注册地址 276 Victoria Street, Richmond VIC 3121，“平台”“我们”）订立，适用于 livetofac.com 及其子域、App 和 API。 These Terms are between you and Vertexa Pty Ltd, an Australian proprietary limited company (ACN 698 787 352, ABN 15 698 787 352), registered address 276 Victoria Street, Richmond VIC 3121 ("we", "the platform"), and apply to livetofac.com, its subdomains, apps and APIs. 1.2 本平台仅面向企业及年满 18 周岁、具备完全民事行为能力的人士，以经营目的使用。未成年人不得注册或购买。 The platform is for businesses and adults aged 18 or over acting for business purposes. Minors may not register or purchase.

2. 平台定位 / What the platform does

2.1 平台只提供撮合和询价服务，连接主播、工厂和买家。平台不是任何交易的买方、卖方、代理人或承运人；买卖合同由买卖双方直接订立。 The platform provides matchmaking and inquiry services only, connecting creators, factories and buyers. We are not the buyer, seller, agent or carrier in any transaction; sale contracts are made directly between buyer and seller. 2.2 在线支付（如开通）由持牌支付机构处理。平台不存放、不接收、不归集用户资金，也不对任何交易提供付款保证。 Online payment, where available, is processed by licensed payment providers. The platform does not hold, receive or pool user funds and does not provide any guarantee of payment for any transaction. 2.3 支付相关的放款、退款和争议，按您与支付机构之间的协议处理；平台可应请求提供沟通记录作为证据。 Release, refund and disputes relating to payment are governed by your agreement with the payment provider; we may provide communication records as evidence on request. 2.4 线下或平台外成交的风险（货不对板、欺诈、物流、关税等）由交易双方自行承担。税费、关税、清关及进出口许可由交易双方依法负责。 Risks of offline or off-platform deals (non-conforming goods, fraud, logistics, duties) are borne by the parties. Taxes, duties, customs and import/export permits are the parties' responsibility.

3. 注册与资质 / Registration

3.1 用户须提供真实、准确、完整的信息并及时更新。工厂须提供营业执照；涉及管制物项的须提供有效出口许可证。 You must provide true, accurate and complete information. Factories must provide a business licence and, for controlled items, a valid export licence. 3.2 我们可进行身份、资质和制裁名单筛查，审核不通过可拒绝或限制服务。 We may conduct identity, qualification and sanctions screening and may refuse or limit service.

4. 收费 / Fees

4.1 基础服务免费。收费项目和标准在 /pricing 页公示，不在公示外收取费用；收费调整至少提前 30 日公示。 Basic services are free. Paid services and rates are published at /pricing; no unpublished fees apply. Changes are published at least 30 days in advance. 4.2 平台对通过平台成交的订单收取订单金额 3% 的服务费，对主播通过平台获得的佣金收取佣金金额 3% 的服务费。支付手续费由支付机构收取，按实际成本由买家承担，平台不加价。平台服务费单独收取并开具发票。 The platform charges 3% of the order amount on orders made through the platform, and 3% of commissions earned by creators through the platform. Payment processing fees are charged by the payment provider and passed to the buyer at cost without markup. Platform fees are charged and invoiced separately.

5. 电子烟及受管制物项 / E-cigarettes and regulated items

5.1 电子烟、尼古丁产品、打火机及其他受管制物项的进口、销售、持有和使用，受买家所在地法律约束，部分国家或地区禁止或限制。买家须自行遵守所在地法律，平台展示地区提示。对于平台公布的 19 个电子烟禁售国家或地区，平台不接受电子烟的询价或下单。上述提示和限制不构成法律意见，也不构成对合规性的保证。 Import, sale, possession and use of e-cigarettes, nicotine products, lighters and other regulated items are governed by the laws of the buyer's location and may be banned or restricted. Buyers must comply with the laws of their own location; the platform displays regional notices. E-cigarette inquiries and orders are not accepted from the 19 countries or regions the platform lists as banning e-cigarettes. These notices and restrictions are not legal advice or a compliance assurance. 5.2 未成年人禁止购买电子烟、尼古丁产品及其他年龄受限商品。 Minors are prohibited from purchasing e-cigarettes, nicotine products or other age-restricted goods. 5.3 出口管制物项：卖家出口许可证经平台审核通过前，商品只能展示和询价，不得下单；询价中禁止发送技术资料；买家须提交最终用户和最终用途声明；下单须符合许可的目的国、最终用户、数量和有效期。平台发现涉嫌违法出口的，可冻结账号和订单并依法报告。 Export-controlled items: until the seller's export licence is approved by us, items are display-and-inquiry only; technical data may not be sent in inquiries; buyers must provide end-user and end-use declarations; orders must match the licence. We may freeze accounts and orders and report suspected illegal exports as required by law. 5.4 禁止发布武器弹药、爆炸物、毒品、受管制化学品、假冒侵权商品及受制裁主体相关交易。平台的系统筛查与人工审核不构成对商品合规性的保证。 Weapons, explosives, drugs, controlled chemicals, counterfeit goods and sanctioned-party transactions are prohibited. Our screening does not constitute an assurance of compliance.

6. 沟通与机器翻译 / Messaging and machine translation

站内 IM、实时语音和翻译须单独同意，可随时撤回。翻译由机器生成，仅供参考；价格、规格、数量、交期等以双方书面确认的原文为准。通话默认不录音，录音须各方同意。 In-app messaging, voice and translation require separate consent, which can be withdrawn. Machine translation is for reference only; written confirmations in the original language prevail. Calls are not recorded unless all parties agree.

7. 内容与知识产权 / Content and IP

工厂上传的素材须拥有合法权利并明示授权范围；主播仅可在授权范围内使用。权利人可通过 plafactory1-vakf9r@mail.grokbot.com（support@livetofac.com 开通后将替换为该地址） 提交侵权通知。禁止虚假或绝对化宣传。 Factories must hold rights in uploaded materials and state the licence scope; creators may use them only within that scope. Infringement notices: plafactory1-vakf9r@mail.grokbot.com (to be replaced by support@livetofac.com once activated). False or exaggerated claims are prohibited.

8. 用户行为规范 / Conduct

禁止虚假信息、刷单刷评、骚扰、规避管制规则、爬取数据、传播恶意代码、冒用身份。 False information, fake reviews, harassment, circumventing controls, scraping, malware and impersonation are prohibited.

9. 责任限制 / Liability

在法律允许的最大范围内，平台不对间接损失或利润损失承担责任；平台累计责任以您过去 12 个月向平台支付的服务费为限。本条不排除澳大利亚消费者法（ACL）等法律规定不可排除的权利。 To the maximum extent permitted by law, we are not liable for indirect loss or loss of profit, and our total liability is limited to the fees you paid us in the previous 12 months. Nothing excludes rights that cannot be excluded under the Australian Consumer Law or other law.

10. 账号处理与终止 / Suspension and termination

违规时我们可警告、限流、下架、冻结或终止账号；您可申请注销，数据按《隐私政策》处理。 We may warn, limit, delist, freeze or terminate accounts for breach; you may close your account, and data is handled per the Privacy Policy.

11. 条款变更 / Changes

重大变更至少提前 30 日公示；继续使用视为接受。 Material changes are published at least 30 days in advance; continued use means acceptance.

12. 适用法律与争议 / Governing law

本条款适用澳大利亚维多利亚州法律，因本条款产生的争议由维多利亚州法院管辖。 These Terms are governed by the laws of Victoria, Australia, and disputes are subject to the jurisdiction of the courts of Victoria. 本条款提供中英文版本；如有不一致，以英文版本为准。其他语言为译本。 These Terms are provided in Chinese and English; if they conflict, the English version prevails. Other languages are translations.
